1. General Conditions
1.1. This public contract (hereinafter — the Offer) is an official offer from Alexander Antonov, NIF ESZ1911387T, registered in Spain as an individual entrepreneur (autónomo), trading under the name Ampyflow, address: 08001, Barcelona, pl. Anna Muria, 1, Spain, phone: +34 631 21 43 43, email: ampyflow.digital@gmail.com (hereinafter — the Provider), to provide access to digital products (including templates, prompts, guides, sets of materials) and to render information and educational consulting services through the website ampyflow.digital (hereinafter — the Website) to legal entities and/or capable individuals under the conditions listed below.
1.2. According to applicable law, this document is a public Offer. By accepting the terms set out below and paying for the selected digital product or service on the Website, the person who accepts this Offer becomes the Customer.
1.3. The Provider and the Customer confirm their legal capacity necessary to conclude and execute this Agreement.

2. Definitions and Terms
2.1. For the purposes of this Offer, the following terms are used:

• Provider — Alexander Antonov (autónomo), trading as Ampyflow, providing Digital Products and Information Services to the Customer under the terms of this Offer.
• Customer — a person who has accepted the Offer under the conditions set forth herein.
• Digital Product — a set of electronic materials (including templates, prompts, instructions, databases, files) delivered online after payment.
• Service — information, consulting, or educational assistance rendered by the Provider, including but not limited to live or asynchronous consulting, guidance on the use of Digital Products, and short trainings or workshops delivered online.
• License — a non-exclusive, non-transferable right to use the Digital Product in the manner expressly provided by this Offer for personal or internal business purposes of the Customer.
• Website — the website ampyflow.digital
• Acceptance of the Offer — full and unconditional acceptance of this Offer by paying 100% of the price of the selected Digital Product or Service via the checkout on the Website.

3. Subject of the Offer
3.1. The Provider grants the Customer a non-exclusive License to use the selected Digital Product and/or renders the selected Service, and the Customer agrees to pay the applicable price.
3.2. Permitted use of Digital Products: access and viewing or use for the Customer’s personal or internal business purposes during the License term specified on the Website at the moment of purchase.
3.3. When purchasing a Service with feedback, the Customer may submit questions within the period and in the format specified on the Website for the corresponding Service, and the Provider provides replies in the manner stated for that Service.
3.4. Payment for a Service with feedback includes the price of the License for the related Digital Product (if included) and the price of the Service. Paying for a Digital Product without feedback includes only the price of the License.
3.5. Acceptance of the Offer is deemed to occur at the moment the payment is successfully processed. The Agreement becomes effective from the moment of Acceptance by the Customer.
3.6. After payment, access details and instructions are provided on the success page and duplicated to the Customer’s email specified at checkout.
3.7. The Provider may supplement and amend this Offer at any time without prior notice. If, after changes, the Customer continues to use the License or Services, the Customer is deemed to have agreed to all changes.

3.9. Processing of personal data is carried out in accordance with the Privacy Policy available at: ampyflow.digital/privacy-policy

4. Rights and Obligations of the Parties
4.1. Provider’s Rights: 4.1.1. To suspend or terminate the License and access to Services in cases of material breach of this Offer by the Customer; 4.1.2. To engage third parties to perform the Agreement; 4.1.3. To update, modify, and improve Digital Products and Services without reducing their overall quality or scope.
4.2. Provider’s Obligations: 4.2.1. To provide access to the paid Digital Product and/or render the paid Service within the timeframe stated on the Website; 4.2.2. To protect confidential Customer information obtained in connection with the Agreement as required by applicable law; 4.2.3. To provide reasonable support related to access and use of purchased materials.
4.3. Customer’s Rights: 4.3.1. To access the Digital Product and use it in accordance with the License during the applicable period; 4.3.2. To receive the Service as described for the selected offering; 4.3.3. To submit written claims regarding scope of rights or quality of Services to ampyflow.digital@gmail.com.
4.4. Customer’s Obligations: 4.4.1. To pay the price of the selected Digital Product or Service; 4.4.2. To ensure that account and contact data are accurate; 4.4.3. To comply with License terms and not to share, resell, publish, or otherwise distribute Digital Products or materials to third parties; 4.4.4. Not to publicly display, broadcast, alter, or create derivative works from the Digital Products except as expressly permitted; 4.4.5. To use the materials in compliance with applicable law and third-party rights.

5. Terms of Provision of Digital Products and Services
5.1. Orders are placed through the Website checkout. Payment is processed via payment providers indicated on the Website. The Customer provides full name, email, and other data necessary to fulfill the order. Personal data is processed according to the Privacy Policy.
5.2. Upon successful payment, the Provider delivers access within a reasonable period stated on the Website and typically within 24 hours via success page and email.
5.3. Technical requirements and compatibility information are indicated on the Website or in the delivery instructions. The Customer is responsible for meeting such requirements.

6. License and Intellectual Property
6.1. The Customer receives a non-exclusive, non-transferable License to use the Digital Product for personal or internal business purposes. The License does not grant any ownership rights.
6.2. Any resale, public distribution, publication, sharing outside the Customer’s organization, or commercial exploitation of the Digital Product is prohibited without prior written consent of the Provider.

7. Refunds and Guarantees
7.1. For Services, the Provider offers a 14-day money-back guarantee from the date of payment upon the Customer’s request. The guarantee does not apply where the Service has been fully performed within this period at the Customer’s request.
7.2. For Digital Products, once access has been granted or the content has been delivered, refunds are not provided except in cases of technical impossibility to access the content due to the Provider’s fault and if the issue is not resolved within a reasonable time.

8. Liability and Dispute Resolution
8.1. The Parties are liable in accordance with applicable law for failure or improper performance of obligations.
8.2. Disputes shall be settled through negotiations; failing that, in the competent courts as provided by applicable law.

9. Final Provisions
9.1. This Offer enters into force upon publication on the Website and remains in effect until revoked or amended by the Provider.
9.2. This Offer is governed by the laws of Spain and the European Union.

1. Общие положения
1.1. Настоящий публичный договор (далее — Оферта) является официальным предложением индивидуального предпринимателя Alexander Antonov, NIF ESZ1911387T, зарегистрированного в Испании (autónomo), действующего под торговым наименованием Ampyflow, адрес: 08001, Barcelona, pl. Anna Muria, 1, Spain, телефон: +34 631 21 43 43, e-mail: ampyflow.digital@gmail.com (далее — Исполнитель), о предоставлении доступа к цифровым продуктам (включая шаблоны, промты, руководства, наборы материалов) и оказании информационно-консультационных и образовательных услуг посредством сайта ampyflow.digital (далее — Сайт) юридическим и/или дееспособным физическим лицам на нижеуказанных условиях.
1.2. В соответствии с применимым законодательством настоящий документ является публичной Офертой. При принятии изложенных условий и оплате выбранного цифрового продукта или услуги на Сайте лицо, принявшее Оферту, становится Заказчиком.
1.3. Исполнитель и Заказчик подтверждают наличие правоспособности и дееспособности, необходимых для заключения и исполнения настоящего Договора.

2. Определения и термины
2.1. Для целей настоящей Оферты используются следующие термины:

• Исполнитель — Alexander Antonov (autónomo), действующий под наименованием Ampyflow, предоставляющий Цифровые продукты и Услуги на условиях настоящей Оферты.
• Заказчик — лицо, принявшее Оферту на изложенных в ней условиях.
• Цифровой продукт — совокупность электронных материалов (включая шаблоны, промты, инструкции, базы, файлы), предоставляемая онлайн после оплаты.
• Услуга — информационно-консультационная или образовательная помощь, оказываемая онлайн, включая ответы на вопросы и краткие обучающие форматы.
• Лицензия — неисключительное, непередаваемое право использования Цифрового продукта способом, прямо предусмотренным настоящей Офертой, для личных или внутренних бизнес-целей Заказчика.
• Сайт — сайт ampyflow.digital.
• Акцепт Оферты — полное и безоговорочное принятие условий настоящей Оферты путём оплаты 100% стоимости выбранного Цифрового продукта или Услуги через оформление заказа на Сайте.

3. Предмет оферты
3.1. Исполнитель предоставляет Заказчику неисключительную Лицензию на использование выбранного Цифрового продукта и/или оказывает выбранную Услугу, а Заказчик обязуется оплатить установленную цену.
3.2. Разрешённое использование Цифровых продуктов: доступ, просмотр и использование для личных или внутренних бизнес-целей Заказчика в течение срока Лицензии, указанного на Сайте на момент покупки.
3.3. При приобретении Услуги с обратной связью Заказчик вправе направлять вопросы в период и в формате, указанном на Сайте для соответствующей Услуги, а Исполнитель предоставляет ответы в порядке, предусмотренном для этой Услуги.
3.4. Оплата Услуги с обратной связью включает стоимость Лицензии на связанный Цифровой продукт (если он включён) и стоимость Услуги. Оплата Цифрового продукта без обратной связи включает только стоимость Лицензии.
3.5. Акцепт Оферты считается совершённым в момент успешной обработки платежа. Договор вступает в силу с момента Акцепта Заказчиком.
3.6. После оплаты доступ и инструкции предоставляются на странице успешной оплаты и дублируются на e-mail Заказчика, указанный при оформлении заказа.
3.7. Исполнитель вправе вносить изменения в настоящую Оферту без предварительного уведомления. Продолжение использования Лицензии или Услуг после внесения изменений означает согласие Заказчика с новой редакцией.

3.9. Обработка персональных данных осуществляется в соответствии с Политикой конфиденциальности: ampyflow.digital/privacy-policy

4. Права и обязанности сторон
4.1. Права Исполнителя: 4.1.1. Приостанавливать или прекращать Лицензию и доступ к Услугам при существенном нарушении Оферты Заказчиком; 4.1.2. Привлекать третьих лиц к исполнению Договора; 4.1.3. Обновлять, изменять и улучшать Цифровые продукты и Услуги без снижения их общего качества или объёма.
4.2. Обязанности Исполнителя: 4.2.1. Предоставить доступ к оплаченному Цифровому продукту и/или оказать оплаченную Услугу в срок, указанный на Сайте; 4.2.2. Обеспечить защиту конфиденциальной информации Заказчика в объёме, требуемом законом; 4.2.3. Оказывать разумную поддержку по вопросам доступа и использования материалов.
4.3. Права Заказчика: 4.3.1. Получать доступ к Цифровому продукту и использовать его в соответствии с Лицензией в течение установленного периода; 4.3.2. Получать Услугу в объёме, описанном для выбранного предложения; 4.3.3. Направлять письменные обращения по объёму прав или качеству Услуг на адрес ampyflow.digital@gmail.com.
4.4. Обязанности Заказчика: 4.4.1. Оплатить стоимость выбранного Цифрового продукта или Услуги; 4.4.2. Поддерживать актуальность данных учётной записи и контактных данных; 4.4.3. Соблюдать условия Лицензии и не передавать, не перепродавать, не публиковать и не распространять материалы третьим лицам; 4.4.4. Не осуществлять публичный показ, трансляцию, изменение или создание производных материалов, кроме прямо разрешённых; 4.4.5. Использовать материалы с соблюдением закона и прав третьих лиц.

5. Условия предоставления цифровых продуктов и услуг
5.1. Заказ оформляется через форму заказа на Сайте. Оплата обрабатывается платёжными провайдерами, указанными на Сайте. Заказчик предоставляет ФИО, e-mail и иные данные, необходимые для исполнения заказа. Персональные данные обрабатываются по Политике конфиденциальности.
5.2. При успешной оплате Исполнитель предоставляет доступ в разумный срок, указанный на Сайте, как правило в течение 24 часов, через страницу успешной оплаты и по e-mail.
5.3. Технические требования и совместимость указываются на Сайте или в инструкциях по доставке. Заказчик несёт ответственность за их соблюдение.

6. Лицензия и интеллектуальная собственность
6.1. Заказчик получает неисключительную, непередаваемую Лицензию на использование Цифрового продукта для личных или внутренних бизнес-целей. Лицензия не предоставляет права собственности.
6.2. Перепродажа, публичное распространение, публикация, передача третьим лицам или иная коммерческая эксплуатация Цифрового продукта запрещены без письменного согласия Исполнителя.

7. Возвраты и гарантии
7.1. По Услугам Исполнитель предоставляет гарантию возврата средств в течение 14 календарных дней с даты оплаты по запросу Заказчика. Гарантия не применяется, если Услуга по инициативе Заказчика полностью оказана в этот период.
7.2. По Цифровым продуктам после предоставления доступа или доставки контента возвраты не осуществляются, за исключением случаев технической невозможности доступа по вине Исполнителя и при отсутствии решения проблемы в разумный срок.

8. Ответственность и разрешение споров
8.1. Стороны несут ответственность в соответствии с применимым законодательством за неисполнение или ненадлежащее исполнение обязательств.
8.2. Споры подлежат урегулированию путём переговоров; при недостижении соглашения — в компетентном суде в порядке, установленном применимым правом.

9. Заключительные положения
9.1. Настоящая Оферта вступает в силу с момента публикации на Сайте и действует до её отзыва или изменения Исполнителем.
9.2. Применимое право — законодательство Испании и нормы Европейского Союза.
